Terms of Use

1. Acceptance of Terms
Welcome to Huddle. These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and Huddle LLC ("Huddle," "we," "our," or "us") governing your access to and use of the Huddle mobile application and related services (the "Service").
By creating an account or using the Service in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
2. Eligibility
You must be at least 13 years of age (or 16 where required by applicable law) to use the Service. During registration, you are required to provide your date of birth, and you will not be permitted to create an account if you do not meet the minimum age requirement. By using Huddle, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into these Terms. If you are under the age of majority in your jurisdiction, you represent that a parent or guardian has reviewed and consented to these Terms on your behalf.
3. Account Registration
To access most features of the Service, you must create an account using your phone number. A one-time verification code will be sent to confirm your identity. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain and promptly update your account information.
- Keep your account secure and not allow others to use your device to access your account without authorization.
- Notify us immediately at support@download-huddle.com if you suspect unauthorized use of your account.
- Accept responsibility for all activity that occurs under your account.
We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.
4. Use of the Service
4.1 Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is designed to help users build accountability habits through group challenges ("huddles"), photo check-ins, and social encouragement.
4.2 Prohibited Conduct
You agree not to:
- Post, upload, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable.
- Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
- Upload or transmit any content that infringes any patent, trademark, trade secret, copyright, or other intellectual property right of any party.
- Use the Service to send unsolicited communications (spam), including mass invitations or promotional messages.
- Attempt to gain unauthorized access to any portion of the Service or any systems or networks connected to the Service.
- Use automated scripts, bots, crawlers, or other means to access or scrape the Service.
- Interfere with or disrupt the integrity or performance of the Service or the servers and networks that host it.
- Engage in any activity that could disable, overburden, or impair the infrastructure of the Service.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Use the Service to harvest or collect information about other users without their consent.
5. User-Generated Content
5.1 Your Content
The Service allows you to post, upload, and share content including photos, captions, comments, poke messages, and other materials ("User Content"). You retain ownership of any intellectual property rights you hold in your User Content.
5.2 License to Huddle
By submitting User Content, you grant Huddle a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, improving, and promoting the Service. This license continues even if you stop using the Service, solely to the extent necessary to maintain the Service for other users.
5.3 Content Standards
You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:
- You own or have the necessary rights and permissions to post your User Content.
- Your User Content does not violate the privacy, publicity, or other rights of any third party.
- Your User Content complies with all applicable laws and regulations.
5.4 Content Moderation
To keep Huddle safe, we use a combination of automated and reactive moderation:
- Automated review at upload: Every photo you submit as a check-in is reviewed by an automated AI moderation system before it is posted. Photos that fail review are rejected and not published. See our Privacy Policy for details on how this review is performed and who processes the data.
- Community reporting and auto-hide: Any user can report a check-in they believe violates these Terms. Check-ins that receive multiple reports may be automatically hidden pending review.
- Manual removal: Our team may remove any User Content at any time, in our sole discretion, without notice, for any reason — including suspected violations of these Terms or legal liability concerns.
- Notification: If a check-in of yours is removed (whether by our team or auto-hidden after multiple reports), you will receive a notification in the App.
We reserve the right (but not the obligation) to review, remove, or disable access to any User Content at our sole discretion. We do not guarantee ongoing storage of User Content.
5.5 Appeals and Repeat Violations
If you believe your content was removed in error, you may appeal by emailing support@download-huddle.com with the date and huddle of the removed check-in. We aim to respond within a reasonable time but make no guarantees about reinstatement.
Repeated violations of these Terms may result in temporary suspension or permanent termination of your account at our discretion. Severe violations (including illegal content or attempts to upload child sexual abuse material) may result in immediate termination and reporting to law enforcement.
6. Huddles and Social Features
The core functionality of Huddle involves creating and participating in shared accountability groups ("huddles"). When you join a huddle, you agree that:
- Other members of the huddle may see your check-in photos, adherence statistics, streak data, and participation history, subject to the visibility level you select (Private, Members Only, or Public).
- Public huddles and check-ins set to "Public" visibility may be viewable by any user of the Service.
- Features such as pokes (including optional text messages), likes, and comments enable social interaction; you may control notification preferences for these interactions in Settings.
- You may leave a huddle at any time. Your existing check-ins will remain visible to other members unless you delete them before leaving. You may rejoin a huddle you previously left, subject to the huddle's settings.
- You may block other users, which will prevent them from seeing your profile, content, and activity, and will prevent you from seeing theirs.
- You will not use huddle features to harass, bully, or otherwise harm other users.
7. Intellectual Property
All rights, title, and interest in and to the Service — excluding User Content — are and will remain the exclusive property of Huddle and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms.
8. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.
9. Third-Party Services
The Service may contain links to, or integrations with, third-party websites, applications, or services. We do not control those third-party services and are not responsible for their content, privacy policies, or practices. Your interactions with third-party services are governed solely by their own terms and policies.
10. Software Updates
We may deliver updates to the App over-the-air (without requiring a new download from the app store) to fix bugs, improve performance, or deliver new features. By using the Service, you consent to receiving such automatic updates. Continued use of the App after an update constitutes acceptance of any changes included in that update.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE DO NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT ON THE SERVICE.
Huddle is a personal accountability tool. We make no representations about the effectiveness of any habit-building techniques reflected in the App, and we are not a substitute for professional medical, psychological, nutritional, or fitness advice.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUDDLE, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF HUDDLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL HUDDLE'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO HUDDLE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).
13. Indemnification
You agree to defend, indemnify, and hold harmless Huddle and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms, or (d) your violation of any rights of another party.
14. Termination
We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if we believe you have violated these Terms. Upon termination, your right to use the Service immediately ceases.
You may terminate your account at any time by selecting Delete Account in Settings › Account. Termination does not relieve you of any obligations incurred prior to termination. Sections 5.2, 7, 11, 12, 13, and 16 of these Terms shall survive termination.
15. Changes to the Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will provide notice through the App or by other reasonable means, and update the "Effective Date" above. Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree with the updated Terms, you must stop using the Service.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law principles.
Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith negotiation between the parties. If the dispute is not resolved within 30 days of written notice, it shall be submitted to binding arbitration under the rules of the American Arbitration Association, conducted in English, in the State of Delaware. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
You agree that any dispute resolution proceedings will be conducted on an individual basis, not in a class, consolidated, or representative action. You waive the right to participate in a class action lawsuit or class-wide arbitration.
